1. About the Company

These Terms govern services provided by COPISRAD INNOVATION, a registered Israeli sole proprietorship (עוסק פטור / osek patur, VAT-exempt) owned by Siskind Carlos Alberto (סיסקינד קרלוס אלברטו), registered with the Israeli Tax Authority (Rashut HaMisim) under dealer number 017868092 (registration date: 29/04/2026), with registered address at Gan HaShomron, Israel.

Throughout this document "the Company", "COPISRAD INNOVATION", "we", "us" and "our" refer to the entity above. "Customer", "you" and "your" refer to the natural person or legal entity contracting the services. Primary contact: [email protected]. "Services" includes: (a) technical agency and automation consulting; (b) CompliBot — AI compliance SaaS at complibot.copisrad.cloud; (c) FlowForge — workflows marketplace at flowforge.copisrad.cloud; (d) Audit 360 and custom AI agents.

2. Scope of the agreement

By contracting a plan or service, COPISRAD INNOVATION undertakes to deliver the scope agreed in writing (email, signed proposal, Stripe/Paddle ticket) and the Customer undertakes to pay the corresponding fee. Any work outside the proposal document requires a written addendum.

3. Plans and pricing

The following are the recurring agency plans currently offered:

Prices in US dollars. International billing via Wise or Paddle. Prices may be updated with 30 days written notice for active customers. Initial setup at no charge if the Customer commits to 6 months of service. One-shot products (individual FlowForge workflows, single audits) carry the price stated on each landing and do not constitute a subscription.

4. VAT and Israeli taxes

COPISRAD INNOVATION is registered as עוסק פטור (osek patur — VAT-exempt sole proprietor) under Israeli VAT Law. Services provided are NOT subject to Israeli Value Added Tax (מע"מ). Customers receive receipts (קבלה / kabbala), not tax invoices (חשבונית מס / heshbonit mas). Israeli business customers cannot deduct VAT from these transactions. Foreign customers (outside Israel) are not affected by Israeli VAT in any case. Local taxes in the Customer's jurisdiction (sales tax, IVA, GST, withholding) are the Customer's responsibility unless explicitly agreed otherwise.

5. Payment and billing

Monthly plans are charged in advance on the first day of the cycle. One-shot projects: 50% on engagement, 50% on delivery. Late payment > 15 days enables service suspension. Refunds: within the first 14 days for subscriptions; downloaded digital products (workflows, delivered audits) are non-refundable except for material defect in the deliverable.

6. Intellectual property

Source code, n8n configurations, prompts and documentation delivered to the Customer are licensed for perpetual, non-exclusive use within the Customer's business. The Company retains rights over methodology, internal templates and generic improvements not specific to the Customer. The Customer may not resell or redistribute deliverables to third parties without written authorisation. The marks "Copisrad", "COPISRAD INNOVATION", "CompliBot" and "FlowForge" belong to COPISRAD INNOVATION (Siskind Carlos Alberto). (c) 2026 COPISRAD INNOVATION (Siskind Carlos Alberto). 7. Confidentiality

Both parties undertake to treat as confidential any information exchanged that is not in the public domain. This obligation survives 3 years from the end of the contractual relationship. The Company may mention the Customer as a commercial reference unless explicitly objected to in writing.

8. Personal data and privacy

Personal data is processed under the Privacy Policy. The Company acts as Data Controller for site-owned data (analytics, leads, contacts) and as Data Processor when processing data on behalf of the Customer under documented instructions. Applicable compliance: Israeli Privacy Protection Law 5741-1981, GDPR (EU 2016/679) for EEA data subjects, CCPA basics for California residents.

9. Liability

COPISRAD INNOVATION provides services on a best-effort basis. Aggregate liability for any claim arising from the contract is limited to the amount actually paid by the Customer in the 12 months preceding the event giving rise to the claim. Excluded: lost profits, indirect damages, lost opportunities, regulatory fines — except in cases of wilful misconduct or gross negligence by the Company evidenced by a final judgment. Compliance tools (CompliBot, Audit 360) are professional assistance and do not replace consultation with certified legal advisors.

10. Suspension and termination

Either party may terminate the relationship for material breach not cured within 15 days of written notice. Monthly subscriptions: cancellable at any time, the service remains active until the end of the paid cycle. Customer data is available for export for 30 days after termination.

11. Governing Law

These Terms are governed by the laws of the State of Israel. Any dispute arising shall be resolved exclusively in the competent courts of Tel Aviv-Jaffa District, Israel — except where a mandatory consumer-protection norm grants the Customer a non-waivable special jurisdiction.

12. Modifications

COPISRAD INNOVATION may update these Terms. The current version is published at this URL with the date of last update. Material changes are notified by email to active customers with 30 days advance notice.
