Terms and Conditions

1. About the Company

These Terms govern the services provided by COPISRAD INNOVATION, a registered Israeli sole proprietor (עוסק פטור / osek patur, VAT-exempt) owned by Siskind Carlos Alberto (סיסקינד קרלוס אלברטו), registered with the Israel Tax Authority (Rashut HaMisim) under merchant number 017868092 (registration date: 29/04/2026), with registered address at Gan HaShomron, Israel.

Throughout this document, "the Company", "COPISRAD INNOVATION", "we" and "our" refer to the entity above. "Client", "you" and "your" refer to the natural or legal person contracting the services. "Services" includes: (a) technical agency and automation consulting; (b) CompliBot — AI regulatory compliance SaaS at complibot.copisrad.cloud; (c) FlowForge — workflow marketplace at flowforge.copisrad.cloud; (d) Audit 360 and custom AI agents.

2. Scope of the Agreement

By contracting a plan or service, COPISRAD INNOVATION commits to deliver the scope agreed in writing (email, signed proposal, Stripe/Paddle ticket) and the Client commits to pay the corresponding fee. Any work outside the proposal document requires a written addendum.

3. Plans and Pricing

The following are the recurring agency plans currently offered:

Prices in US dollars. International billing via Wise or Paddle. Prices may be updated with 30 days written notice to active clients. Initial setup at no cost if the Client commits to 6 months of service. One-off products (individual FlowForge workflows, individual audits) are priced as indicated on each landing page and do not constitute a subscription.

4. Israeli VAT and Taxes

COPISRAD INNOVATION is registered as an עוסק פטור (osek patur — VAT-exempt sole proprietor) under Israeli VAT law. Services rendered are NOT subject to Israeli Value Added Tax (מע"מ). Clients receive receipts (קבלה / kabbala), not tax invoices (חשבונית מס / heshbonit mas). Israeli business clients cannot deduct VAT from these transactions. Foreign clients (outside Israel) are not affected by Israeli VAT in any case. Local taxes in the Client's jurisdiction (sales tax, VAT, GST, withholdings) are the Client's responsibility unless expressly agreed otherwise.

5. Payment and Billing

Monthly plans are charged in advance on the first day of the cycle. One-off projects: 50% upon start, 50% upon delivery. Late payments > 15 days enable suspension of service. Refunds: within the first 14 days for subscriptions; downloaded digital products (workflows, delivered audits) are non-refundable except for material defect in the deliverable.

6. Intellectual Property

The source code, n8n configurations, prompts and documentation delivered to the Client are licensed for perpetual, non-exclusive use within the Client's business. The Company retains rights over its methodology, internal templates and generic improvements not specific to the Client. The Client may not resell or redistribute deliverables to third parties without written authorization. The trademarks "Copisrad", "COPISRAD INNOVATION", "CompliBot" and "FlowForge" belong to COPISRAD INNOVATION (Siskind Carlos Alberto). © 2026 COPISRAD INNOVATION (Siskind Carlos Alberto). 7. Confidentiality

Both parties commit to treat as confidential any exchanged information that is not in the public domain. This obligation survives 3 years after the end of the contractual relationship. The Company may mention the Client as a commercial reference unless explicitly objected in writing.

8. Personal Data and Privacy

Personal data is processed according to the Privacy Policy. The Company acts as Data Controller for its own site data (analytics, leads, contacts) and as Data Processor when processing data on behalf of the Client under documented instructions. Applicable compliance: Israeli Protection of Privacy Law 5741-1981, GDPR (EU 2016/679) for EEA data subjects, basic CCPA aspects for California residents.

9. Liability

COPISRAD INNOVATION provides services on a best-effort basis. Aggregate liability for any claim arising from the contract is limited to the amount actually paid by the Client in the 12 months preceding the event giving rise to the claim. Excluded: lost profits, indirect damages, loss of opportunity, regulatory fines — except for willful misconduct or gross negligence by the Company established by final judgment. Compliance tools (CompliBot, Audit 360) constitute professional assistance and do not replace consultation with certified legal advisors.

10. Suspension and Termination

Either party may terminate the relationship for material breach not remedied within 15 days after written notice. Monthly subscriptions: cancellable at any time, the service remains active until the end of the paid cycle. Client data is available for export for 30 days after termination.

11. Governing Law

These Terms are governed by the laws of the State of Israel. Any dispute shall be resolved exclusively in the competent courts of the Tel Aviv-Jaffa District, Israel, unless a mandatory consumer protection rule grants the Client a special non-waivable jurisdiction.

12. Modifications

COPISRAD INNOVATION may update these Terms. The current version is published at this URL with the date of the last update. Material changes are notified by email to active clients with 30 days advance notice.
